As you perhaps already heard, the number of attorneys per capita in the USA is more than twice greater than in any other country. For you it’s both good news and bad news.

The good news is that all companies, both public and private, are really afraid of doing something illegal and going beyond the legal framework because they will be immediately attacked by several lawyers (especially it is true in relation to big companies). Perhaps such companies will be able to defend themselves against claims, but they will have to spend a lot of money paying their lawyers as well as a lot of nerves. It means that all kinds of illegal inspections paralyzing the work of an absolutely innocent company are practically impossible in the USA. Any tax officer who illegally confiscates company documents (a trick which is so popular in Russian) will go to jail. Raiders’ attacks are like a present for the prosecutor.

But the bad news for you is that you can be sued by anyone – clients, your employees, your former employees, neighbors, owners of the building in which you rent an office etc.

The so-called “trash claims” are also possible. It means that you are sued, for example, for registering a domain and it caused somebody moral damages for 10 thousand USD. (Let’s assume that the “victim” has been dreaming about registering this domain for himself during the last ten years).

You do not pay any attention to such a “claim” and just throw it out as trash. Well, you shouldn’t. If you do not respond to the claim, do not respond to court and do not come to the hearing. It means that you neglected the court and automatically lose the case because you did not show up at the hearing. You start paying at the same time trying to prove that “you haven’t done anything wrong”. Besides, this “debt” can be quickly sold for a certain percentage to a collection company which will be getting on you regularly and methodologically – in a professional manner.

And it’s not that somebody went crazy. Not at all. It’s just that many lawyers specialize in “trash” claims. Their target audience – people neglecting elementary legal procedures and just ignorant of them. For example, if you do not respond to claims or do not show up in court.

So to prevent all of the above and many more problems you need a corporate lawyer.

What else does this corporate lawyer do? He deals with:

  • developing legal opinions, references, explanations, legal analytical materials,
  • preparing draft agreements, internal normative acts, carrying out legal analysis and assessment of draft contracts,
  • legal provisions of civil deals, legal expertise of contracts and other business transactions,

We can continue this list but the main thing is this: your company will not be able to work and develop properly unless you have a corporate lawyer who will do all this work for you (the work company owners and managers usually do not like to do).
