The Documents You Have

Each state has its own system of registration – each form varies from one state to another. As an example, some states have bright forms with the state emblem and golden embosses stamps and ribbons. Other states have less flashy forms that only have the state seal and the company number.
However, the most important thing in documents is not the nice look of seals and forms but the entry in the Secretary of State database, duly checked by any authorized organizations and agencies within a couple of minutes.
Most banks do not require tons of documents when opening a business account. Instead, a copy of the document is quite sufficient for the bank’s clerk. The clerk uses the registration number for immediately finding and printing out the company registration documents.
That is why in the USA today, “Certificates of Good Standing” which are the favorite tools of “document packs sellers in Russia”, are practically not needed. At the Secretary of State’s site you can easily find information about the standing of the company and the current list of directors.
Here are the documents issued by the state of Nevada regarding a company’s registration:
- Corporate Chapter. Company Registration Certificate.
- Articles of Incorporation. Excerpt on Establishment of the Company.
- (Profit) Initial List of Officers, Directors and Resident Agent of (name of the company).
The list of officers (meaning the president of the company, treasurer and the secretary), directors and the local agent of the company.
According to Nevada state law, you should get a license for the right to carry out business activities. A general license covering all businesses are requires aside from the specialized licenses.
This license is a kind of a registration document, but it requires filling in a considerable number of documents and payment of annual fees (equaling $100 so far, but in the near future the amount of the fee should increase).
